The company has to exist before it can elect anything. The state filing is the paper that creates it, or that updates a fact the state already keeps. The name, the entity type, the agent, and the date existence began are the facts that office is built to store. People sometimes shop for the federal status first and discover the state has no record of the company at all.
An identification number from the federal government usually comes next, because banks, payroll providers, and the election form itself ask for it. The number identifies the company. Receiving a federal identification number leaves the tax year unchanged. Owners who receive the number on the same afternoon as the state receipt often treat the pair as the whole job. Both papers can be in the folder while the election form is still blank.
We ask to see those two papers before we talk about the year. A screenshot of a website confirmation is weaker than the receipt. A nickname typed into software is weaker than both. The sequence is dull on purpose. Skipping a step is how a spring gets spent reconstructing a file that never had an election.
Form 2553 is the federal election. The instructions allow it during the year before the tax year begins, or no later than two months and 15 days after the tax year begins. That window belongs to the company's own year, not to a date we recite for every owner. A company formed late in the calendar does not inherit a deadline written for a January start.
Signatures are part of the form being finished. If the form asks every owner to sign and one signature is missing, treat the form as unfinished. Finding that missing name on the first call is cheaper than finding it inside a drafted return. A copy of the signed form, or a plain statement that it was never signed, both help.
Late relief lives in Revenue Procedure 2013-30. Naming the procedure is not the same as predicting the answer. Some facts fit the procedure and some do not. We will not dress a maybe as a calendar item. If the window was missed, the note can say when the company began and when someone first noticed the form was blank.
The acceptance letter is the paper that changes the year. Until it arrives, the company is whatever the default rules say it is. A corporation with no accepted election is not silently converted by a menu inside the bookkeeping file. An LLC is still the entity the state created, and any federal status is a later fact.
The letter in the file is what the ledger is allowed to follow. On the proof card the first line is Steven Palmieri and the next line is Tax CFO. Owners who have met Steven Palmieri before often shorten the introduction to Entrepreneur's CFO. Setup covers the identification number, the state withholding account, the state unemployment account, and a written note of the work the owner does. Payday stays on that provider.
The monthly close starts only on months that can be closed. Open months are caught up first, or we decline. The return follows the closed months. A folder of bank downloads is not a close. If you are still between the state receipt and the acceptance, the useful next step is to name which paper is blank, not to invent a wage.
A registered agent can be appointed on the same state form that creates the company. That appointment is still a third job. The agent receives process and official mail. The agent does not elect, does not keep the ledger, and does not prepare the return. When the renewal invoice for the agent arrives, it is an invoice for mail, not proof of a federal status.
Some states tax the company under their own rules even after a federal election. We read the state where you file. We do not print a formation fee, because the schedule belongs to that state and it changes. The receipt in your hand is the evidence of what you bought. A page on the public internet is the wrong place to freeze a number.
A later request for a signed assurance is outside this practice, and the disclosures page is where that stop is written in full. The ordinary path on this page is short. State filing, identification number, election form, acceptance, then books, payroll setup, and the return.
Tell us which step is done and which paper is still blank.
You will be talking to the Steven Palmieri practice.
